An NDA is about specific categories of harm, not paranoia. These are the ones that show up on real SMB deals.
- Competitive intelligence. P&Ls, customer lists, pricing, vendor terms, and margin structure help a rival undercut or poach. Without a gate, the listing process becomes a free research subscription.

- Use restriction. The information is for evaluating a transaction with this seller, not for competing or market mapping.
- Scoped non-solicitation. A limited non-solicit of employees or customers for a defined period is common. A total industry non-compete smuggled into the NDA is a red flag.
- Term. Confidentiality often survives for a defined period, commonly two to three years in SMB deals, sometimes longer for trade secrets. Write the duration down.
- Return or destruction when you walk away, with ordinary legal-hold and advisor-retention exceptions.
- Injunctive relief, because damages from leakage are hard to quantify later.
- Governing law and venue. Do not shrug this off if you are out of state.
- No obligation to deal. The NDA is not an LOI. It should not create exclusivity or a break-up fee unless you add those in a separate agreement.

Which NDA red flags should a buyer refuse?
