Terms of Service

These Terms of Service govern your access to and use of the Biz Checkout marketplace and deal platform. Please read them carefully - they include important limitations on liability and describe how transactions, payments, and verification work.

1. Acceptance of these terms

Biz Checkout ("Biz Checkout," "we," "us," or "our") operates an online marketplace and transaction platform that helps buyers and sellers discover, negotiate, and close the purchase and sale of small and mid-sized businesses.

By creating an account, accessing, or using the platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. If you are using the platform on behalf of an entity, you represent that you have authority to bind that entity.

2. Eligibility and accounts

You must be at least 18 years old and able to form a legally binding contract to use Biz Checkout.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You agree to provide accurate, current, and complete information and to keep it up to date.

3. Identity verification (KYC)

Certain features - including funding escrow, signing binding documents, and completing a transaction - require identity verification. We use third-party identity-verification providers to confirm your identity, which may include collecting a government-issued ID and a selfie.

You consent to our verification partners processing this information on our behalf as described in our Privacy Policy. We may suspend or limit access to features until verification is complete, and we may decline to verify or may terminate accounts where verification cannot be reasonably completed.

4. Marketplace role and disclaimer

Biz Checkout is a neutral venue and software platform. We are not a party to any transaction between a buyer and seller, not a business broker, attorney, accountant, escrow agent, lender, or fiduciary, and we do not represent either side of a deal.

Listings, financial figures, valuations, and other content are provided by users and third parties. While we offer verification tools and reports, we do not guarantee the accuracy, completeness, or legality of any listing or the quality, safety, or legality of any business offered.

You are solely responsible for your own due diligence and for obtaining independent legal, financial, and tax advice before entering into any transaction.

5. Payments, fees, and escrow

Subscriptions, one-off features, and reports are billed through our third-party payment processor. By purchasing, you authorize us and our processor to charge your selected payment method.

  • Subscriptions renew automatically until cancelled; you may cancel at any time and access continues through the end of the current billing period.
  • One-time purchases (such as analysis reports and premium tools) are generally non-refundable once delivered, except where required by law.

Escrow services are provided by an independent, licensed escrow provider under separate terms between you and that provider. Funds held in escrow are governed by those terms; Biz Checkout does not take custody of escrowed funds.

6. Documents and electronic signatures

The platform supports electronic signing of documents such as non-disclosure agreements, letters of intent, and purchase agreements. You agree that your electronic signature is the legal equivalent of your handwritten signature and that signed documents are binding on you.

Templates and generated documents are provided as a convenience and are not legal advice. You are responsible for reviewing any document - ideally with your own counsel - before signing.

7. Acceptable use

You agree not to:

  • Post false, misleading, fraudulent, or unlawful listings or content;
  • Circumvent fees, verification, or security measures, or attempt to access data you are not authorized to access;
  • Use the platform to launder money, evade taxes or sanctions, or facilitate any illegal activity;
  • Scrape, reverse engineer, overload, or disrupt the platform; or
  • Harass, defraud, or violate the rights of other users.

We may remove content and suspend or terminate accounts that violate these terms.

8. Confidentiality between users

Deal rooms and shared materials may contain confidential information. If you access another party's confidential information - whether under an NDA executed on the platform or otherwise - you agree to use it solely to evaluate the relevant transaction and to keep it confidential.

9. Intellectual property

The platform, including its software, design, and trademarks, is owned by Biz Checkout and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. You retain ownership of content you submit but grant us a license to host, display, and process it to operate the service.

10. Disclaimers and limitation of liability

The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, Biz Checkout will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or business losses, arising from your use of the platform or any transaction. Our total liability for any claim relating to the platform will not exceed the greater of the fees you paid to us in the twelve months before the claim or USD $100.

11. Indemnification

You agree to indemnify and hold harmless Biz Checkout and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the platform, your content, your transactions, or your violation of these terms or applicable law.

12. Termination

You may stop using the platform at any time. We may suspend or terminate your access if you breach these terms, create risk or legal exposure, or for any lawful reason with reasonable notice. Provisions that by their nature should survive termination will survive.

13. Changes to these terms

We may update these terms from time to time. If we make material changes, we will provide notice through the platform or by email. Your continued use after changes take effect constitutes acceptance of the revised terms.

14. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law provides otherwise.
